1. Agreement to Terms

By accessing or using the ResourceWatcher platform operated by Stofle Holdings, LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Description of Service

ResourceWatcher provides infrastructure monitoring services including website uptime monitoring, network monitoring, SSL certificate monitoring, alert notifications, status pages, and related features. We monitor the resources you configure and alert you when issues are detected.

3. Account Registration

To use our services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

4. Acceptable Use

You agree not to use ResourceWatcher to:

• Monitor resources you do not own or have authorization to monitor
• Conduct denial-of-service attacks or attempt to overwhelm target servers
• Violate any applicable laws or regulations
• Send spam, unsolicited messages, or abuse the notification system
• Attempt to gain unauthorized access to our systems or other user accounts
• Interfere with or disrupt the integrity or performance of our services

5. SMS Notifications

If you opt in to receive SMS alert notifications:

• You consent to receive automated text messages from ResourceWatcher related to your monitored resources
• Message frequency varies based on your resource status changes
• Standard message and data rates may apply based on your mobile carrier plan
• You may opt out at any time by replying STOP to any message or disabling SMS in your account settings

6. Subscription and Payment

Paid subscriptions are billed in advance on a monthly basis. By subscribing, you authorize us to charge your payment method for the applicable fees. Subscription fees are non-refundable except as required by law or as explicitly stated in these terms.

We reserve the right to modify our pricing with 30 days notice. You may cancel your subscription at any time, and it will remain active until the end of the current billing period.

7. Service Availability

We strive to provide reliable monitoring services but do not guarantee 100% uptime. We may experience downtime due to maintenance, updates, or unforeseen issues. We will make reasonable efforts to notify you of scheduled maintenance in advance. Enterprise customers may have specific SLA guarantees outlined in their service agreements.

8. Intellectual Property

The ResourceWatcher platform, including its design, features, and content, is owned by Stofle Holdings, LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our service without our written permission.

9. Data and Privacy

Your use of ResourceWatcher is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our services, you consent to our data practices as described in the Privacy Policy.

10. Disclaimer of Warranties

RESOURCEWATCHER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STOFLE HOLDINGS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF RESOURCEWATCHER. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Stofle Holdings, LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your account at any time if you violate these terms or at our sole discretion. Upon termination, your right to use the service ceases immediately. You may terminate your account at any time by contacting support@resourcewatcher.com.

14. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Bexar County, Texas.

15. Changes to Terms

We may modify these Terms at any time by posting the revised terms on our website. Your continued use of the service after changes become effective constitutes acceptance of the new terms. Material changes will be communicated via email or through the service.
